Terms & Conditions - Providers
Last updated: August 2026
These Terms & Conditions ("Terms") govern your access to and use of www.proofpros.com/providers and www.proofseal.com/providers (each, a "Provider Site," and together the "Provider Sites"), both of which are owned and operated by ProofSeal, Inc. ("ProofSeal," "we," "us," or "our"), and any related provider portal, dashboard, or application made available through either Provider Site (collectively, the "Provider Services"). By applying to join, or by accessing or using the Provider Services as a contractor or service business ("you," "Provider," or "Pro"), you agree to be bound by these Terms. If you do not agree, please do not use the Provider Services.
1. About the Provider Services
ProofSeal, Inc. operates a platform, marketed under both the ProofPros and ProofSeal brands, that matches independent home service businesses with homeowners seeking AI-assisted quotes for projects such as garage epoxy, driveway sealing, plumbing, HVAC, roofing, electrical, painting, landscaping, and handyman work. The Provider Services include lead matching, an in-app communications portal, scope and invoice/change-order tools, before-and-after job documentation, and a review-and-release payment process.
2. Eligibility and Application
- To apply, you must provide accurate information about your business, including business name, service category, service area, contact email, and, where applicable, license and insurance information.
- Submitting an application does not guarantee acceptance. ProofSeal reviews applications and may verify business information, licensing, insurance, and background information before approving a Provider profile, generally within 1-2 business days as indicated on the Provider Sites, though timing may vary.
- You must be authorized to legally perform the services you offer in your stated service area, including holding any required licenses, permits, or insurance.
- ProofSeal reserves the right to approve, decline, suspend, or remove any Provider applicant or account at its sole discretion.
3. Nature of the Relationship
Providers are independent businesses and are not employees, agents, partners, or joint venturers of ProofSeal. Nothing in these Terms creates an employment, partnership, joint venture, franchise, or agency relationship between you and ProofSeal. You are solely responsible for how you operate your business, including hiring, equipment, methods, pricing decisions within the scope agreed with a Customer, and compliance with applicable laws (including licensing, insurance, tax, and labor laws). You are responsible for your own tax obligations arising from payments received through the platform.
4. Leads and Matching
- ProofSeal will use reasonable efforts to match approved Providers with homeowner ("Customer") leads that fit the Provider's stated service category and service area.
- ProofSeal does not guarantee any minimum number of leads, matches, or completed jobs, and lead volume may vary based on market conditions, service area, competition, and Customer demand.
- Leads shared with Providers are intended to be acted upon promptly and professionally. Providers agree not to use lead information for any purpose unrelated to responding to that Customer's request through the Services.
5. Quotes, Scope of Work, and Change Orders
- Providers may accept, decline, refine, or request a site visit in response to a Customer's project and AI-generated estimate.
- Any binding scope of work, price, and timeline must be agreed with the Customer through the Services.
- Any changes to the agreed scope ("change orders") must be proposed and approved by both parties through the platform's documented process before additional work proceeds or additional charges apply.
6. Job Documentation
Providers agree to document work in accordance with the ProofSeal process, including before, during, and after photos and job notes, as part of building trust with Customers and supporting the review-and-release payment process and any dispute resolution.
7. Payments
- Where the Provider Services include in-app payment facilitation, payment for completed work is released to the Provider after Customer review and approval, in accordance with the review-and-release process described on the Provider Sites.
- ProofSeal may use third-party payment processors to facilitate transactions and is not responsible for delays or errors caused by those processors.
- ProofSeal may charge Providers platform, referral, or service fees in connection with leads or completed jobs, as disclosed during onboarding or within the Provider portal.
8. Provider Conduct and Standards
You agree to:
- Provide accurate business, licensing, and insurance information, and promptly update it if it changes;
- Perform work professionally, safely, and in accordance with applicable laws, codes, and industry standards;
- Communicate with Customers primarily through the in-app portal;
- Honor scopes of work and pricing agreed through the Services;
- Not solicit Customers matched through the Services to transact outside the platform in order to avoid applicable fees, except as otherwise permitted by these Terms.
9. Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent business, licensing, insurance, or job information;
- Misrepresent completed work, including photos or documentation submitted through the Services;
- Harass, discriminate against, or mistreat any Customer;
- Use the Provider Services for any unlawful purpose;
- Interfere with or disrupt the operation of the Provider Sites, portal, or underlying systems.
10. Reviews, Ratings, and Verified Status
Customers may leave ratings and reviews of completed work. ProofSeal does not guarantee the removal of accurate reviews. Where ProofSeal designates a Provider as "Verified" or similar, this reflects information provided and, where applicable, checks performed by ProofSeal at a point in time, and is not a guarantee of ongoing compliance, licensure, or insurance status.
11. Intellectual Property; Use of Platform Materials
- The ProofPros and ProofSeal names, logos, badges (including any "ProofSeal-backed" or "Verified Provider" marks), portal design, and underlying technology are the property of ProofSeal and may not be used without our prior written consent, including on your own website or marketing materials, except as expressly permitted (for example, an authorized embeddable badge).
- Job photos, notes, and documentation you submit through the Services may be used by ProofSeal to operate, support, and improve the Provider Services, including for dispute resolution and, in de-identified or aggregate form, for platform trust and marketing purposes.
12. Disclaimers
The Provider Services are provided on an "as is" and "as available" basis. ProofSeal makes no warranties, express or implied, regarding lead volume, Customer conversion rates, or earnings potential. Testimonials referenced on the Provider Sites reflect individual experiences and are not a guarantee of results for any particular Provider.
13. Limitation of Liability
To the fullest extent permitted by law, ProofSeal and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Provider Services, even if advised of the possibility of such damages.
14. Indemnification
You agree to indemnify and hold harmless ProofSeal and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your work performed for a Customer, your breach of these Terms, or your violation of any law or third-party right.
15. Termination
ProofSeal may suspend or terminate your access to the Provider Services at any time, with or without notice, for conduct that violates these Terms, is harmful to Customers, other Providers, or ProofSeal, for failure to maintain required licensing or insurance, or for any other reason at our discretion. You may stop using the Provider Services at any time.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of the Provider Services after changes take effect constitutes acceptance of the revised Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the united states, without regard to its conflict of law principles.
